Terms of Service & Tech Support
These Terms and Conditions govern your use of the AGR Technologies website and services. They apply together with the AGR Technologies Refund Policy and any applicable license agreements.
The current Terms of Service are effective June 1, 2014. By accessing, ordering or using AGR Technologies services through the website, telephone, online services or remote access, you agree to these Terms. If you do not agree with the Terms, you should not access or use the services.
Agreement
These Terms, accepted service or subscription plans, additional service terms and the Refund Policy together establish the agreement between you and AGR Technologies. A service or subscription becomes part of the agreement when AGR Technologies acknowledges it in writing or by email.
Definitions
Certain terms used throughout the Terms and Conditions have specific meanings. Content includes software, materials, services and related information. You refers to an individual or a person acting on behalf of an employer or organization.
AGR Technologies refers to AGR Technologies Inc. AGR Technologies Support Staff includes qualified technicians and specialists used to perform services. Plans or Subscriptions refer to service plans offered for a specified period, including applicable incident-based plans.
Services & AGR Technologies Website
Services include AGR Technologies services provided under the applicable plan through the AGR Technologies website or by contacting AGR Technologies. These Terms apply to plans available through the website and to use of the AGR Technologies website.
Where there is a conflict between these Terms and a service request, the Terms govern unless a specific written agreement states otherwise.
Materials & Content
Materials may include webcasts, downloads, white papers, press releases, datasheets, FAQs, product information, reference guides and other information made available through the AGR Technologies website.
AGR Technologies and its suppliers retain ownership of proprietary and copyrighted materials. Content may only be used as permitted under these Terms, the applicable service plan and any associated license agreement.
Use of the Services
Services and website content may not be copied, modified, distributed, reproduced, published, sold or otherwise used outside the permissions provided by AGR Technologies.
Users must use the services only for lawful purposes and must not interfere with AGR Technologies systems, networks, servers, software or services.
Service Undertaking
Subject to the applicable service plan and these Terms, AGR Technologies will use commercially reasonable efforts to address support requests and provide appropriate technical solutions.
Support may involve telephone, email, chat, remote access or other methods considered appropriate for the situation. Remote support sessions may include documentation describing work performed.
Fees & Payment
Services become available after the required payment has been made according to the applicable subscription or service plan. Plans may include service, activation or subscription fees and may operate under annual or recurring payment arrangements.
The applicable service plan establishes the fees, payment schedule and term. Users agree to maintain required services and payments for the applicable subscription period.
Credit Card Billing
AGR Technologies may require valid payment information to activate services. By providing payment information, you authorize applicable charges for unpaid services and related fees according to the selected plan.
Users are responsible for maintaining current payment information and notifying AGR Technologies when previously supplied information is no longer valid.
Personal & Non-Commercial Use
Unless otherwise specified, services, materials and software are provided for the purposes covered by the applicable service plan. Users may not modify, copy, distribute, reproduce, transfer, sell or create derivative works from these materials unless expressly permitted.
No Unlawful or Prohibited Use
Users may not use AGR Technologies services, materials or software for unlawful or prohibited activities.
Users may not damage, disable, overburden or interfere with AGR Technologies servers or networks, attempt unauthorized access, obtain services through unauthorized methods or interfere with another user's use of the website or services.
Fair Usage Policy
AGR Technologies may provide support without a stated limit on the number of online support requests under a plan. However, service usage remains subject to a fair-use policy.
AGR Technologies may suspend or terminate a subscription when it determines that the service is being abused, used fraudulently, used by an unauthorized person or used for a system that is not covered by the applicable plan.
Communication Services
Depending on the applicable service plan, AGR Technologies may provide communication services such as email, messaging, chat, forums, communities, file storage or other communication facilities.
Users agree to use communication services appropriately and must not use them for spam, harassment, unlawful activity, malicious software, intellectual-property violations, unauthorized advertising or other prohibited activities.
Linking
Users may not create hyperlinks to portions of the AGR Technologies website, materials or software unless AGR Technologies expressly permits such linking.
Indemnity
Users agree to indemnify and protect AGR Technologies, its affiliates, employees, agents, suppliers and related parties from claims, losses, expenses and damages resulting from violations of these Terms, misuse of services or infringement of intellectual property or other rights.
Guests & Limited Website License
Visitors who are not currently subscribed to a service are treated as Guests. Guests may use portions of the AGR Technologies website and materials made available to them for purposes such as reviewing services, registering and submitting service requests.
License Restrictions
Any use of the AGR Technologies website, services, materials or software that is not expressly permitted is prohibited. Rights to copy, modify, display, transmit, distribute, manufacture, sell or otherwise use proprietary materials remain with AGR Technologies and its suppliers.
Reverse engineering, decompiling and other attempts to discover the underlying source code or technology of protected software are prohibited.
User Responsibility
Users are expected to cooperate with AGR Technologies technicians during support sessions and follow reasonable technical instructions provided during troubleshooting.
Users are responsible for ensuring that relevant systems, hardware, software and information are available when required for support.
AGR Technologies strongly recommends maintaining complete data backups and an appropriate disaster recovery plan. Users are also responsible for protecting account credentials, passwords and security information.
Service Availability & Force Majeure
Events outside AGR Technologies' reasonable control may delay service availability or support scheduling. Such events may include natural disasters, widespread computer viruses, strikes, civil disorder, war, terrorism, fire, flooding, vandalism, sabotage or actions of third parties.
AGR Technologies or its suppliers may also temporarily restrict service availability when maintenance or other operational work is required.
Exclusions From Services
Services do not include items or activities outside the applicable service plan, services beyond the plan's stated duration, problems caused by equipment or configurations outside AGR Technologies' control, or software and systems specifically excluded from the plan.
Problems resulting from accidents, misuse, electrical issues, failure to follow manufacturer instructions, lack of preventive maintenance or incompatible components may also fall outside the scope of services.
Materials & Software
Materials and software provided through the AGR Technologies website or services may be governed by a separate End User License Agreement. Where an applicable EULA exists, use of the software or material is subject to that license as well as these Terms.
Materials and software may not be reproduced, redistributed, transferred to another server or otherwise used outside the permissions granted by the applicable agreement.
End User License Agreements
AGR Technologies or third-party licensors may provide software as part of a service. Software may be updated or upgraded from time to time, and users agree to cooperate with required updates.
Software may only be used as part of the applicable service and according to the associated plan and license terms. Users may not copy, modify, rent, lease, distribute, sublicense, reverse engineer or transfer protected software unless expressly permitted.
Third-Party Products
AGR Technologies may recommend third-party software, hardware or services. Such products remain subject to the terms and licenses established by their respective owners or providers.
AGR Technologies does not assume responsibility for third-party products or provide warranties on behalf of third-party vendors. Users are responsible for determining whether additional rights are required for AGR Technologies to provide support.
Third-Party Agreements
Third-party services selected by a user are governed by the terms of the applicable third-party provider. Users agree to comply with those terms and understand that the third-party provider is responsible for delivering its own services.
Limited Service Warranty
AGR Technologies provides services, materials and software subject to the limitations and warranty terms stated in the applicable service plan and these Terms.
Where a specific plan includes a limited service warranty, that warranty applies according to the requirements and conditions of that plan.
Limitation of Liability
To the extent permitted under the applicable agreement, AGR Technologies' liability relating to a disputed service is limited to the amounts actually paid by the user for the applicable subscription or service.
Limitations on Actions
Any legal cause of action arising from the services or these Terms must be commenced within the time period specified in the AGR Technologies Terms and Conditions.
Term & Termination
AGR Technologies may suspend or terminate services when a user violates these Terms, applicable acceptable-use policies or third-party software licenses, or when use of the service is unlawful, disruptive or otherwise adversely affects the service or AGR Technologies network.
Services may also be terminated when AGR Technologies stops offering the applicable service or determines that service use violates the applicable subscription requirements.
Severability & Waiver
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law.
No Offer
Information on the AGR Technologies website may refer to products, services or programs that are not available in every country. Such references do not necessarily mean that AGR Technologies intends to make those products or services available in every location.
Modification of Terms
AGR Technologies reserves the right to modify its Terms and Conditions or website information. Updated Terms may be posted on the AGR Technologies website or communicated using the contact information associated with a customer's registration.
Users are responsible for periodically reviewing the website and Terms and Conditions for updates or amendments.
Effective Date
The Terms of Service referenced on the AGR Technologies website state an effective date of June 1, 2014. Please review the current version published by AGR Technologies for the latest applicable terms.
